Position Summary

I am partnered with a health system who is looking to bring on a Corporate Governance and SEC Paralegal to join their legal team. This role report to the General Counsel in managing corporate governance matters, ensuring compliance with SEC regulations, and maintaining accurate records for a publicly traded healthcare company. The ideal candidate will have a strong understanding of securities law, corporate governance best practices, and proficiency with Diligent software.

Key Responsibilities

• Assist with preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, and Section 16 filings.
• Support corporate governance activities, including board and committee meetings, drafting resolutions, and maintaining minute books.
• Manage entity formation, maintenance, and compliance for subsidiaries and affiliates.
• Maintain and update corporate records using Diligent entity management software.
• Coordinate annual shareholder meeting logistics and proxy statement preparation.
• Monitor regulatory developments and assist with compliance initiatives.
• Liaise with internal stakeholders and external counsel on governance and securities matters.

Qualifications

• Bachelor's degree or Paralegal Certificate required.
• Minimum 5+ years of corporate governance and SEC compliance experience in a public company or law firm setting.
• Strong knowledge of SEC reporting requirements and corporate governance principles.
• Proficiency with Diligent entity management software is required.

Preferred Skills

• Experience in the healthcare industry.
• Familiarity with NYSE or NASDAQ listing requirements.
• Ability to work independently and collaboratively in a fast-paced environment.
